Transfer – How to register a simple share transfer in NVR

Description and step‑by‑step instructions for registering a straightforward transfer between one seller and one buyer.

Before you can create a transfer, select the company involved and click “+ New event.”


Step 1 – Choose the Date

Select the date on which the transfer is to be recorded in the share ledger.

Important: Every event in NVR must be entered in strict chronological order; you cannot back‑date a transfer to a date earlier than the most recent event already registered.


Step 2 – Select the Seller

Choose the seller (the transferring party), which can be either an individual or a company.


Only someone who currently appears in NVR as the owner of at least one share can be selected.


Step 3 – Specify the Number of Shares

Enter how many shares are being transferred.
If the company has more than one share class, you may record a single transaction that transfers shares from several classes at once.


Besides typing the exact quantity, you can simply tick “All shares” to transfer the seller’s entire holding. You cannot transfer more shares than that owner possesses.

If you enter a specific quantity, you have two options:

  • Automatic numbering: Let NVR pick the share numbers to be transferred.

  • Manual selection: Choose the exact share certificate numbers yourself.


Step 4 – Identify the Buyer

The buyer can be an existing shareholder (select from the drop‑down list) or a new owner (add manually). Provide:

  • Type: Individual or organisation

  • Nationality

  • Swedish personal / organisation number or another ID number

If the buyer has a Swedish ID number, click “Fetch information.” NVR will auto‑fill name, current address, and any other available contact data (e.g., from Bolagsverket or the SPAR registry).

If the data cannot be fetched, enter at least the buyer’s name (minimum) and address, and preferably an email address.


If the buyer is a minor, you may enter details for a guardian or contact person.


Step 5 – Add a Note (Optional)

An internal note field lets you record reminders or other details about the event.
Notes do not appear in printed versions of the share ledger; they are visible only to administrators/observers via Share‑ledger events → More info.


Step 6 – Upload an Attachment (Optional)

You can attach one or more files to the event—e.g., a copy of the trade confirmation or transfer instructions.

Step 7 – Finalize the Transfer

Click “Complete.” If everything is entered correctly, the transaction is registered and the share ledger (and all related reports) are updated automatically.

If either the buyer or seller has an NVR depot, they will be notified that their holding in the company has changed. They can then log in to NVR to review the updated information.


These notifications help both administrators and owners by giving the parties a chance to react if anything was recorded incorrectly—an important measure for transparency.
