Before you can pledge a share, you must select the company to which the pledge relates and click the "+ New Event" button.
To pledge a share, you register this in NVR as a new event where you will, among other things, provide information about the pledgee.
Step 1 – Select Date
Choose the date when the pledge is to be entered into the share ledger. Like all other types of events, pledges are registered in chronological order.
Step 2 – Pledge or Removal
Specify whether the registration concerns the establishment of a pledge or the removal of an existing pledge.
Step 3 – Select Shareholder
Select which shareholder’s shares will be pledged.
Step 4 – Select Shares
Select the specific shares that this shareholder will pledge.
Step 5 – Pledgee Information
Provide information about the pledgee. You must specify:
Whether the pledgee is an individual or an organization
Nationality
Swedish personal/organization number or other identification number
If the pledgee has a Swedish personal or organization number, you can click the "Fetch Information" button. The name, current address, and any other available contact information (e.g., from the Swedish Companies Registration Office or the SPAR register) will then be retrieved automatically.
If this information CANNOT be retrieved, you must manually fill in at least the name (mandatory) and preferably also the address and email details of the pledgee.
Step 6 – Add Note (Optional)
The event also includes a notes field. Here you can, if desired, write memos or other information about the event. This note will NOT be visible in printouts of the share ledger; it is only available to administrators/observers of the share ledger service via the "Share Ledger Events" overview and the "More Info" section of the specific event.
Step 7 – Upload Attachment (Optional)
You can also upload one or more attachments to the event. An example of an attachment could be a copy of a transaction note or other instructions regarding the transfer.
Attachments will NOT be visible in the share ledger printout; they are only accessible to administrators/observers via the "Share Ledger Events" overview and "More Info" for the specific event.
Step 8 – Finalize Pledge
Click the "Finalize" button. If everything is filled out correctly, the transaction will be registered, and the share ledger and all related reports will be updated accordingly.
After registration, the shareholding will be locked and cannot be transferred to another person without first removing the pledge.
This ensures that the company does not mistakenly transfer pledged shares.
If either the buyer and/or seller has a depository in NVR, they will be notified that their holdings in the company have changed.
They will then have the opportunity to log into NVR to review the updated information.
This notification serves as a safeguard for both the administrator and the shareholders, ensuring that any errors in the registration process can be quickly identified and addressed. It also supports transparency.
