Reduction of share capital – How to register a share capital reduction in NVR

Before you can reduce the share capital, you need to select the company concerned and click the “+ New Event” button.

Step 1 – Choose Date

Select the date when the share capital reduction is to be registered in the share ledger. As with all other types of events, reductions of share capital are recorded in chronological order.

Step 2 – Enter Amount

Enter the amount by which the company’s share capital is to be reduced.

Step 3 – Cancellation of Shares

Choose whether the capital reduction is to be made without cancellation of shares or with cancellation of shares:

  • If no shares are to be cancelled, proceed to Step 4.

  • If shares are to be cancelled:

    • If the cancellation is to be made proportionally among all shareholders (pro rata), NVR will calculate how many shares of each share class are to be cancelled. If the distribution among shareholders does not result in whole shares, you can adjust this either manually or by using an established method for rounding to whole shares.

    • If the cancellation is to apply to specific shares and specific shareholders, you can select this option and then specify exactly which holdings (in full or in part) are to be cancelled.

Step 4 – Add Note (Optional)

A notes field is available for this event. If you wish, you can write reminders or other relevant information about the event.


These notes are not shown in the printed share ledger and can only be viewed by administrators/observers through Share Ledger Events → “More Info”.

Step 5 – Upload Attachment (Optional)

You may upload one or more attachments associated with this event. Examples of such attachments may include a copy of a shareholder meeting resolution or an auditor's statement.


Attachments are not visible in the printed share ledger and can only be accessed by administrators/observers via Share Ledger Events → “More Info”.

Step 6 – Register the Share Capital Reduction

Click the “Complete” button. If all information is entered correctly, the event will be registered and the share ledger and all related reports will be updated accordingly.


Notification to Shareholders

If any of the shareholders have a depot in NVR, they will be notified that their holdings in the company have changed. They will then have the opportunity to log in to NVR to verify the updated information.


This notification supports both the administrator and the shareholders by offering an opportunity to react if the registration is incorrect. This is also important for ensuring transparency.
