Setting up a share ledger based on the current state

This guide explains how to digitize the share ledger based on its current state and store historical records in their existing format.

If your company has historical events recorded in its share ledger, there are two options:

  1. You can digitize everything to ensure the historical data is accurate, by recreating each event step by step in chronological order.

  2. Or, you can digitize only the current state and retain the historical records in their existing format.

This guide explains the second option: how to digitize the share ledger based on the current state.

Digitizing Based on the Current State


This method involves saving the historical records in their current format while digitizing the present ownership structure. To ensure all information is kept in one place, a file containing the historical data can be uploaded to NVR.

The following information is required to complete the setup:

  1. A list of current shareholders

  2. A breakdown of the shareholdings, including share numbers

  3. The registration date for each shareholder (the date they were entered as owners, which must be indicated per entry)

If the company is Swedish, the system will automatically retrieve available information from the Swedish Companies Registration Office (Bolagsverket), such as share capital and number of shares, and pre-fill this in Step 2.


Step 1 – Enter the Company Registration Number

Enter the company’s registration number. If the company is Swedish, the name will appear automatically.

Click “Next.”


Step 2 – Enter the Company’s Share Capital

The system will automatically display the number of shares registered with Bolagsverket.


Enter the share capital and select the pre-filled information under “Prefill Information.”


Step 3 – Specify Share Classes and Number of Shares

The system will automatically show the number of shares and any share classes registered with Bolagsverket.


Step 4 – Register Shareholders and Allocate Shares

You can either import a file (CSV UTF8 format) or add shareholders manually. To use an fale to import, please contact the NVR support.

Note: Shareholders can be either individuals or legal entities depending on ownership.

Once all shares are allocated, click “Save and Continue.”


Step 5 – Preview and Finalize

Verify that all information is correct. Then click “Complete Setup.”

Any restrictions outlined in the Articles of Association can be added after the setup is completed.
