A Guide to Setting Up a Share Ledger When the Intention is to Digitize Historical Records

When setting up a share ledger with historical data from another system, or for example from Word or Excel, the process should follow a chronological and step-by-step approach to accurately recreate past events and build a correct foundation moving forward. The setup begins based on the state at the starting point, and each event is then recreated in chronological order.

The following information is required to complete the setup:

  1. Share capital (from the start or a chosen starting point)

  2. Number of shares (from the start or a chosen starting point)

  3. Shareholders (from the start or a chosen starting point)


Step 1 – Create the Company

To create the company, you need to:

  • Log in to the share ledger service and click on “+Register company”

  • Select country

  • Enter organization number, check the company name and currency

  • Click “Register”


Step 2 – Complete Setup, Enter Number of Shares and Share Capital

Click on “+Complete setup”

Here you will have two options:

You can either automatically enter the number of shares and share capital based on the current status by clicking “OK”.


However, since the company has historical data going back further than the formation date, you should click “Cancel” and enter the fields manually.

Note: If there are multiple share classes, the distribution of shares between classes is done here (most commonly there is only one share class). Confirm by saving and continue.


Step 3 – Add Shareholders

Enter shareholders manually. Create the first shareholder by clicking “Add”.

Fill in the details for each shareholder. Note that shareholders can be either private individuals or legal entities, depending on how the shares are owned.

Once all shareholders are added, click “Next” to confirm.


Step 4 – Allocate Shares and Confirm

Distribute the shares to each shareholder. Once all shares are allocated, click “Save and continue”.


When all shares have been allocated, scroll down.


Step 5 – Preview and Finalize

Check that all information is correct and then click “Complete Setup.”

Any restrictions stated in the Articles of Association can most easily be added after the setup is finalized.

Everything looks good? Then just click “Finalize.”
