When setting up a share ledger with historical data from another system, or for example from Word or Excel, the process should follow a chronological and step-by-step approach to accurately recreate past events and build a correct foundation moving forward. The setup begins based on the state at the starting point, and each event is then recreated in chronological order.
The following information is required to complete the setup:
Share capital (from the start or a chosen starting point)
Number of shares (from the start or a chosen starting point)
Shareholders (from the start or a chosen starting point)
Step 1 – Create the Company
Enter the company’s registration number and click “Next.”
Step 2 – Enter the Number of Shares and Share Capital
You’ll be presented with two options:
You can automatically populate the number of shares and the share capital based on the current state by clicking “OK.”
Alternatively, you can register how it looked when the company was started by clicking “Cancel” and filling in the fields manually.
Note: If there are multiple share classes to allocate shares to, this is where you do it (most companies only have one share class). Confirm by saving and continue.
Step 3 – Upload a File with the Shareholders (Optional)
If you have the shareholder information saved in a document, you can ask our support to provide you with a CSV UTF8 file which you can fill in and upload.
.
Most set ups are simple and doesn't require one unless there is many shareholders from the start. Click “Next.” to continue
Step 4 – Add Shareholders
If you didn’t upload a file, you can add shareholders manually.
Create the first shareholder by clicking “Add.”
Fill in the details for each shareholder.
Note: Shareholders can be individuals or legal entities depending on the ownership structure.
Once all shareholders have been added, click “Next.”
Step 5 – Allocate Shares and Confirm
Allocate the shares to the shareholders.
When all shares have been allocated, scroll down.
Step 6 – Preview and Finalize
Check that all information is correct and then click “Complete Setup.”
Any restrictions stated in the Articles of Association can most easily be added after the setup is finalized.
Everything looks good? Then just click “Finalize.”
